(b) The right of an assignee under an outright assignment of receivables

1. A personal or property right securing payment of the assigned receivable is transferred to the assignee without a new act of transfer. If such a right, under the law governing it, is transferable only with a new act of transfer, the assignor is obliged to transfer such right and any proceeds to the assignee.

In response to another question, it was pointed out that the effect of an agreement between the assignor and the debtor was not limited to receivables assigned after the assignee was notified of such an agreement (article 3(1)(b) of the Ottawa Convention), on the understanding that such agreement could not exclude the application of provisions dealing with the rights of the assignee.
