Sovereign debt restructurings with private creditors

Greece has met its creditors demands far more than halfway. Yet Germany and Greece s other creditors continue to demand that the country sign on to a program that has proven to be a failure, and that few economists ever thought could, would, or should be implemented.

If a homeowner defaults, creditors can take the house, but they cannot take other property or income to make up any unpaid balance. Even in those states where mortgages are not no recourse loans, creditors generally do not pursue the assets or income of individuals who default.

A government may wish to bail out a financial institution and provide protection to its creditors for two reasons. First, with respect to depositors or other creditors that are free to withdraw their capital on short notice, a protective government umbrella might be necessary to prevent inefficient runs on the institution s assets that could trigger similar runs at other institutions.

(d) Ensure equitable treatment of similarly situated creditors

The more likely outcome is that it will manage to come to some accommodation that the holdouts find more attractive than the deal accepted by the other creditors. Either way, future voluntary debt workout agreements have just become more difficult to reach, which will leave debtors and creditors alike worse off.

It is equally present in much smaller cases any time a company has assets in more than one country there is a risk that managers will face competing laws or regulations as to how to use those assets to repay creditors, or which creditors are senior, or on many other issues.

In part, this is because creditors would otherwise stop extending credit and demand repayment at the first sign of trouble. This is because the first creditors to be paid would receive the full amount owed to them, leaving less for later creditors and thus creating an incentive for all creditors to rush for the exits even before debt servicing had become impossible.

Creditors of a corporation cannot recover debts from a shareholder.

The principle of comparable treatment with other creditors is reinforced under the Evian approach.19 The adjustment of the cut off date is also a noteworthy feature of the Evian approach.

The objective of the Directive is to ensure, where a credit institution with branches in other Member States fails, that a single winding up procedure is applied to all creditors and investors.

The recent experiences of debt restructurings with private creditors are very diverse.

But this implies a key problem Whereas a bankruptcy court can force holdout creditors to accept the exchange offer as long as a significant majority of creditors have already done so (a so called cram down ), the market based approach allows some creditors to continue to hold out and sue to be paid in full.

In some jurisdictions they form a key part of other policy frameworks, such as protecting depositors in financial institutions, revenue collection, favouring certain categories of creditors over others (such as employees), and so on.

(h) Recognize existing creditors rights and establish clear rules for ranking of priority claims.

(172) The insolvency law should specify whether secured creditors are required to submit claims.

Greece has gotten but a pittance, but it has paid a high price to preserve these countries banking systems. The IMF and the other official creditors do not need the money that is being demanded.

For both borrowers and creditors, the risks and costs are enormous. The borrower is cut off from international markets, and essential imports can no longer be purchased, while large scale defaults threaten to plunge creditors into insolvency.

When a large financial institution is insolvent, the IMF should take it over, guaranteeing its short term obligations, but wiping out the shareholders and repaying the long term creditors only after all the other creditors (including the IMF itself) are repaid. Some people would scream that this is tantamount to nationalization, but it is no more a nationalization that the US Chapter 11 bankruptcy process is.

They create the rules and provide the certifications that allow firms to assure their customers, workers, and neighbors that what they do is safe. They protect creditors and minority shareholders from miscreant managers (and managers from impulsive creditors).

(a) Whether creditors have dealt with a group of companies as a single economic unit

Since the last report, six African countries have rescheduled their debt with Paris Club creditors.

Paris Club creditors cancelled US 823 million of debt, and US 737 million was rescheduled.

At the end of the day, debt forgiveness benefits creditors as much as it helps debtors. Creditors have known this since at least the sixteenth century, when Spain s King Philip II became the world s first known serial sovereign defaulter.

Two recommendations dealt with creditor participation in reorganization proceedings (a) to limit the number of creditor committees to a single committee, except in extraordinary circumstances and (b) in smaller reorganization cases where creditors might have little interest in forming a committee, to provide for the appointment of a creditors' representative to monitor the case and negotiate a reorganization plan on behalf of unsecured creditors.

At a minimum, creditors would have to examine more carefully those to whom they are lending, and where the money is really going. If creditors turn a blind eye to corruption and oppression, they should have to pay a price.

The most noteworthy was the IMF sovereign debt restructuring mechanism,29 which suggested some core features majority rule in restructuring decisions, a legal stay against claims by creditors, protection of creditors' interests, seniority of new money and a dispute resolution forum.
