In defining a commercial transaction , the provisions of the draft Convention did not give as much weight to the purpose of the contract or transaction as those adopted by the International Law Commission (ILC).

The inventory of medical SDS is stored, maintained, shipped and replenished under a contract with a commercial distributor.

2. In determining whether a contract or transaction is a commercial transaction under paragraph 1 (c), reference should be made primarily to the nature of the contract or transaction, but its purpose should also be taken into account if the parties to the contract or transaction have so agreed, or if, in the practice of the State of the forum, that purpose is relevant to determining the non commercial character of the contract or transaction.

According to these terms, Austrian law would govern the contract.

The exercise of such capacity shall be limited only by the marriage contract and by the law. In the context of Commercial Law, a married woman suffers from discrimination due to the fact that she can exercise commercial activity only when allowed by her husband.

(ee) International Chamber of Commerce Commission on Commercial Practice and Law (Paris, France 17 November 2004)

Article 50 of this Law regulates the issue of concluding an employment contract for work conducted at home and Article 53 regulates the issue of employment contract for house keepers.

This Convention shall apply only (a) if, at the time of the conclusion of the contract, the places of business of the parties to a contract of international sale of goods are in Contracting States or (b) if the rules of private international law make the law of a Contracting State applicable to the contract of sale.

3. This Convention does not affect the rights and obligations of the debtor unless, at the time of conclusion of the original contract, the debtor is located in a Contracting State or the law governing the original contract is the law of a Contracting State.

4. If, by virtue of a declaration under this article, this Convention does not extend to all territorial units of a State and the law governing the original contract is the law in force in a territorial unit to which this Convention does not extend, the law governing the original contract is considered not to be the law of a Contracting State.

Under the applicable German law the arbitration agreement validly became part of the contract when the respondent did not object to its inclusion in the confirmation letter and started performance of the contract.

Additionally, the initiative to integrate the inventory of medical SDS into a commercial contract has the inherent benefits of mission wide standardization, life cycle management and timely support to other missions.

6. This Law also applies to a commercial conciliation when the parties agree that the conciliation is international or agree to the applicability of this Law.

If two private parties concluded a contract electronically, the rules of private international law would apply, i.e. the law of an individual country not of an REIO.

Nor did it substantially consider the publication of information on procurement contract awards (article 14 of the Model Law).

Neither the nationality of the parties nor the civil or commercial character of the parties or of the contract is to be taken into consideration in determining the application of this Convention.

The requirement on the publication of a notice on contract awards was included in the Model Law only in 1994.
